Terms of Service

By accessing and using Wishub's services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use our services. These terms apply to all users of the service, including but not limited to users who are browsers, vendors, customers, merchants, and/or contributors of content.

Wishub provides a platform for: • Creating and managing birthday and celebration reminders • Designing custom greeting cards and display pictures • Creating and sharing wishlists • Sending celebratory messages via various channels (email, SMS, WhatsApp) • Browsing and purchasing gifts from verified vendors • Managing team celebrations for organizations We reserve the right to modify, suspend, or discontinue any part of the service at any time.

To access certain features, you must create an account. You agree to: • Provide accurate, current, and complete information • Maintain the security of your account credentials • Accept all responsibility for activity that occurs under your account • Notify us immediately of any unauthorized use We reserve the right to suspend or terminate accounts that violate these terms or for any other reason at our discretion.

You retain ownership of all content you create on Wishub. By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content solely for providing and improving our services. You represent and warrant that: • You own or have rights to all content you post • Your content does not violate any laws or third-party rights • Your content does not contain harmful, offensive, or inappropriate material We reserve the right to remove any content that violates these terms.

You agree not to use Wishub for any unlawful purpose or in any way that: • Violates any applicable laws or regulations • Infringes on intellectual property rights • Transmits spam, malware, or harmful code • Harasses, abuses, or harms other users • Impersonates another person or entity • Scrapes or harvests user data • Interferes with the proper functioning of the service • Attempts to gain unauthorized access to our systems Violation of these prohibitions may result in immediate account termination and legal action.

For transactions in our marketplace: • We act as a platform connecting buyers and sellers • Contracts are formed directly between buyers and vendors • We are not responsible for the quality, safety, or legality of items listed • Vendors are responsible for fulfilling orders and providing customer service • Disputes should be resolved directly with the vendor • We reserve the right to remove listings or vendors at our discretion Additional marketplace terms may apply for vendors and buyers.

For paid services: • Subscription fees are billed in advance on a recurring basis • All fees are non-refundable unless otherwise stated • We reserve the right to change prices with 30 days notice • Payment information is processed securely through third-party providers • You are responsible for all applicable taxes Marketplace purchases are subject to the vendor's refund policy.

All content, features, and functionality of Wishub (including but not limited to software, text, images, graphics, logos) are owned by Wishub and are protected by international copyright, trademark, and other intellectual property laws. You may not: • Copy, modify, or create derivative works • Reverse engineer or decompile our software • Remove or alter any proprietary notices • Use our trademarks without permission

WISHUB IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: • Implied warranties of merchantability • Fitness for a particular purpose • Non-infringement • Uninterrupted or error-free service We do not warrant that the service will meet your requirements or that defects will be corrected.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISHUB SHALL NOT BE LIABLE FOR: • Indirect, incidental, or consequential damages • Loss of profits, data, or goodwill • Service interruptions or data loss • Actions of third parties, including marketplace vendors • Your reliance on content or information on the service Our total liability shall not exceed the amount you paid us in the past 12 months.

You agree to indemnify and hold harmless Wishub, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: • Your use of the service • Your violation of these terms • Your violation of any rights of another • Your content posted on the service

We may terminate or suspend your account and access to the service immediately, without prior notice, for any reason, including: • Violation of these Terms of Service • Inactivity for an extended period • At our sole discretion Upon termination: • Your right to use the service immediately ceases • We may delete your account and content • Provisions that should survive termination will remain in effect

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in Lagos, Nigeria, except where prohibited by law. You waive any right to a jury trial.

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to the website. Your continued use of the service after changes constitutes acceptance of the modified terms. We will make reasonable efforts to notify users of significant changes via email or service notifications.
